Terms of Service for LinkedNG

These terms of service (“terms”, “agreement”) govern your use of the services provided by LinkedNG (“we”, “us”, or “our”), including the use of our website, mobile applications, and other services we offer (collectively, the “services”).

By using our services, you agree to be bound by these terms. If you do not agree to these terms, you may not use our services.

1. Eligibility

You must be at least 18 years old to use our services. By using our services, you represent and warrant that you are at least 18 years old.

1. Use of Services

You may use our services only for lawful purposes and in accordance with these terms. You agree not to use our services:

• In any way that violates any applicable federal, state, local, or international law or regulation.
• For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content or otherwise.
• To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail”, “chain letter”, “spam”, or any other similar solicitation.
• To impersonate or attempt to impersonate us, our employees, another user, or any other person or entity.
• To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of our services, or which, as determined by us, may harm us or users of our services or expose them to liability.

1. User Content

Our services may allow you to upload or transmit user-generated content, including broadcasts, text, images, and other materials (collectively, “user content”). You retain all ownership rights in your user content. However, by uploading or transmitting user content to our services, you grant us a non-exclusive, transferable, sublicensable, royalty-free, worldwide license to use, copy, modify, create derivative works based on, distribute, publicly display, publicly perform, and otherwise exploit in any manner such user content in all formats and distribution channels now known or hereafter devised (including in connection with our services and business and on third-party sites and services), without further notice to or consent from you, and without the requirement of payment to you or any other person or entity.

You represent and warrant that:

• You own or control all rights in and to your user content and have the right to grant the license granted above.
• Your user content does not infringe or violate the intellectual property rights, privacy rights, publicity rights, or other rights of any third party.
• Your user content complies with all applicable laws and regulations.

We reserve the right to remove or delete any user content that we believe violates these terms or is otherwise objectionable, in our sole discretion.

1. Intellectual Property

Our services, including all content, features, and functionality, are owned by us or our licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These terms do not grant you any rights to use our trademarks, service marks, logos, or other branding.

1. Third-Party Services

Our services may contain links to third-party websites or services that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such websites or services.

1. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these terms. Upon termination, your right to use our services will immediately cease.

We make no representations or warranties of any kind, express or implied, as to the operation of our services or the information, content, materials, or products included on our services. You expressly agree that your use of our services is at your sole risk.

You agree to defend, indemnify, and hold us and our affiliates harmless from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these terms or your use of our services, including, but not limited to, your user content, any use of our services’ content, services, and products other than as expressly authorized in these terms.

1. Governing Law and Jurisdiction

These terms and your use of our services shall be governed by and construed in accordance with the laws of the state of California, without giving effect to any principles of conflicts of law. Any legal action or proceeding arising out of or relating to these terms or your use of our services shall be brought exclusively in a state or federal court located in San Francisco County, California, and you hereby consent to the personal jurisdiction of such courts.

We reserve the right, at our sole discretion, to modify or replace these terms at any time. If we make material changes to these terms, we will notify you by email or by posting a notice on our services prior to the effective date of the changes. Your continued use of our services following the effective date of any changes to these terms constitutes your acceptance of those changes.
